Terms and conditions of business

  1. The relationship between Imparta Ltd - trading as Procter and You is strictly professional and our consultants are employed on the basis that all information obtained while working for You is treated as totally confidential and will not be disclosed to third parties. Information to be considered confidential includes however is not limited to trade secrets, know-how, inventions, techniques, processes, software programmes, procedures, contracts, financial information, customer data, budgets, sales, marketing, unpublished information relating to the Intellectual Property Rights of either party, and other non-public information relating to both You and Procter.

     

  2. The assignment is confined to the work specified in the Note of Intent and any changes agreed will be confirmed in writing.

     

  3. The agreed consultancy figure will be invoiced and settled as follows -
    • Preparatory work and consultancy fees - invoiced at the beginning of the month as actioned.
    • Expenses at the end of each month.
    • Settlement 30 days from invoice date.

    All figures exclude VAT and expenses. Expenses may include travel, transport and production of training notes, accommodation, subsistence and any additional specialist training equipment, which may be required - all to be charged at cost.

  4. All dates are to be agreed by both parties in writing. Understandably there are occasions when You may have to postpone or cancel arrangements due to business pressures. Once dates have been agreed, time will be allocated in the consultant's diary and work with other clients will have been declined. In the event of You cancelling or postponing the agreed dates of a programme charges will be as follows
    • 100% of all preparatory work already undertaken
    • 50% of fee if cancelled/postponed within 10 working days of agreed dates

     

  5. As all of our face to face programmes are highly interactive there is a maximum of 8 delegates on each management module and 10 delegates on each advisor dialogue module.

     

  6. All information and materials provided by You is and shall remain Your property and shall not be used by Procter in any manner other than expressly instructed by you. 

     

  7. All information and materials provided by Procter is and shall remain the property of Procter. Any design / preparation work incorporates the best practice developed as part of the Procter proposition and therefore remains the property of Procter.

     

  8. If delivery of the training material / messages developed is to be actioned by an internal resource the contract must include development and accreditation of the internal resource and ongoing re-licensing by Procter.
